These Terms of Service apply to your access to and use of the Herisson website and its materials.
1. Informational Purposes Only
Everything on the Site is general information, written for businesses, institutions, and the professionals who work in them, and intended for readers who are at least 18 years old. None of it is an offer to sell or a solicitation of an offer to buy an event contract, swap, or any other financial instrument, and none of it recommends a transaction, structure, or strategy to you or to anyone else.
Herisson does not provide commodity trading advice, investment advice, or legal, tax, accounting, or insurance advice through the Site. No order can be entered and no position can be opened, adjusted, or closed through the Site. Decisions about your own risk are yours to make, with your own advisors.
2. Regulatory Status
Herisson’s application for registration as an introducing broker with the National Futures Association is filed and in process. Until that registration is effective, Herisson does not accept orders, does not carry or hold customer funds or positions, and does not execute or route transactions on any exchange. The Site describes our methodology and intended scope of service, not activity currently being performed.
Registration with, membership in, or reference to any exchange, self-regulatory organization, or government agency is not a sponsorship, approval, endorsement, or recommendation of Herisson, the Site, our methodology, or any transaction, by that body or by anyone else.
3. Event Contracts and Risk
Event contracts and other derivatives carry substantial risk and are not suitable for every organization or every person. You can lose the entire amount you pay or commit. An event contract is a derivative, not an insurance policy: there is no indemnity, no proof of loss, and no adjuster, and no hedge is guaranteed to offset a loss, hold its value, or produce any particular outcome.
Any examples, illustrative structures, prices, implied probabilities, payout profiles, or performance figures shown on the Site are hypothetical or simulated unless we expressly label them otherwise. Hypothetical results do not reflect actual trading, carry the inherent limitations of constructed examples — including the advantage of hindsight and the absence of real execution, liquidity, and slippage — and are not a promise or prediction that comparable results are achievable.
Where Herisson does act in a transaction, the scope and limits of that role are set out in the applicable Transaction Documents and nowhere else. Exchanges, clearing organizations, market makers, liquidity providers, settlement-source publishers, data vendors, and counterparties are independent of Herisson unless we state otherwise in writing.
4. Inquiries and What You Send Us
If you contact us through the Site or by email, the information you give us should be accurate and current. We handle it as described in our Privacy Policy. Please do not send confidential, proprietary, personal, or otherwise sensitive material through the Site or by unencrypted email; the Site is not a secure channel and nothing you send through it is treated as confidential unless a signed agreement says it is. Sending an inquiry does not oblige Herisson to respond, to engage with you, or to provide any service.
5. Intellectual Property
Herisson and its licensors own the Site and everything in it — content, software, design, structure, graphics, and trademarks. We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to view and use the Site for your own internal business and informational purposes. Every other right is reserved. Nothing here transfers ownership of anything to you.
6. Acceptable Use
Use the Site lawfully. Do not interfere with the Site, its infrastructure, or its security, or attempt to gain access you were not granted. Do not scrape, crawl, harvest, mirror, frame, republish, or commercially exploit the Site or its content without our prior written permission. Do not misrepresent who you are or who you act for. Do not use the Site to infringe or violate anyone’s rights.
7. Third-Party Links and Services
The Site may link to websites, tools, and services we do not control — scheduling tools, press coverage, exchange pages, data sources, and social platforms among them. Those links are provided for convenience, are not endorsements, and take you into terms and privacy practices that are not ours. Herisson is not responsible for third-party content, availability, or conduct.
8. Availability and Changes to the Site
We do not promise that the Site will be available, uninterrupted, secure, error-free, complete, or current. We may change, correct, suspend, withdraw, or discontinue any part of the Site, or restrict access to it, at any time and without notice.
9. Disclaimer of Warranties
The Site is provided “as is” and “as available.” To the fullest extent the law allows, Herisson disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and makes no warranty as to the accuracy, reliability, timeliness, completeness, or availability of the Site or anything on it.
10. Limitation of Liability
To the fullest extent the law allows, Herisson will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business, opportunity, goodwill, or data, arising out of or relating to the Site or these Terms, whether the claim sounds in contract, tort, or otherwise, and whether or not we were advised such damages were possible. Herisson’s total aggregate liability arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars ($100). These limits do not apply to Herisson’s fraud, willful misconduct, or gross negligence, or to any liability that cannot lawfully be limited or excluded.
11. Indemnification
You will indemnify, defend, and hold harmless Herisson and its affiliates, officers, directors, employees, and agents from and against third-party claims, demands, losses, liabilities, damages, costs, and reasonable attorneys’ fees arising out of your use of the Site in breach of these Terms, in violation of applicable law, or in violation of a third party’s rights.
12. Governing Law and Disputes
These Terms, and any dispute arising out of or relating to them or to the Site, are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any such dispute must be brought exclusively in the state or federal courts sitting in Kings County, New York, and each party consents to the personal jurisdiction and venue of those courts and waives any objection based on inconvenient forum.
TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVES ANY RIGHT TO TRIAL BY JURY IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS.
13. Changes to These Terms
We may revise these Terms from time to time. The revised version will be posted here with a new “Last updated” date and takes effect when posted. Continuing to use the Site after that date means you accept the revised Terms, to the extent applicable law permits.
14. General
You may not assign or transfer these Terms without our prior written consent; Herisson may assign them to an affiliate or in connection with a merger, financing, reorganization, or sale of assets. If a provision is held unenforceable, it will be narrowed only so far as needed to make it enforceable and the rest of these Terms will stay in force. No waiver is effective unless it is in writing, and no single waiver waives anything else. These Terms and the Privacy Policy are the entire agreement between you and Herisson about your use of the Site; the Transaction Documents govern services and transactions. Nothing here creates a partnership, joint venture, or employment relationship, or gives any third party rights. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — survive.
